Memory Catcher

By participating in the Prescott Frontier Days(R), Inc- World's Oldest Rodeo(R) ("the Rodeo") memory catcher campaign, you agree to the following terms and conditions regarding the use of your stories, content, and photographs for the Memory Catcher Campaign:
1. Consent and Release: By submitting your stories, content, and photographs to the Rodeo, you grant the Rodeo and its affiliates the irrevocable and unrestricted right to use, reproduce, adapt, modify, publish, translate, create derivative works from, distribute, and display such materials for the Memory Catcher Campaign, without any compensation to you.
2. Ownership: You acknowledge and agree that the Rodeo and its affiliates shall be the sole owners of the rights, title, and interest, including copyright, in and to the materials submitted. You hereby waive any moral rights or attribution rights that you may have in connection with the submitted materials. The rodeo intends to share your stories and photos for marketing purposes that may include print, digital, social media, press releases and more.
3. Confidentiality: While the Rodeo will make reasonable efforts to protect your submitted materials, you understand and agree that the Rodeo cannot guarantee the confidentiality of such materials. You acknowledge that the Rodeo may have similar or identical materials already in its possession, or that it may receive similar materials from other sources, and you agree that the Rodeo shall have no liability for any use or disclosure of such materials.
4. Representations and Warranties: You represent and warrant that you are the sole owner of the submitted materials and that you have the legal right to grant the permissions and releases stated herein. You further represent and warrant that the submitted materials do not infringe upon the rights of any third party, including copyright, trademark, privacy, or publicity rights.
5. Indemnification: You agree to indemnify, defend, and hold harmless the Rodeo and its affiliates from and against any and all claims, demands, damages, liabilities, costs, and expenses arising out of or in connection with any breach of your representations and warranties or any unauthorized use of the submitted materials.
6. Governing Law: This legal disclaimer shall be governed by and construed in accordance with the law of the state of Arizona, without regard to its conflict of laws principles. Any disputes arising out of or in connection with this legal disclaimer shall be subject to the exclusive jurisdiction of the state and federal courts located in Arizona.
